1.    Introduction and Acceptance of Terms

 

Welcome to Mzuzi Business Listings and Directory, a digital business listing, directory, discovery, location intelligence, and related online services platform owned and operated by Mzuzi Group Limited ("Mzuzi", "we", "us" or "our").

These Terms and Conditions of Use ("Terms") govern your access to and use of Mzuzi Business Listings and Directory, including the website, mobile applications, business listing pages, directory search tools, profile pages, paid listing features, advertising features, location-related tools, MLIC-related integrations, content, data, and all associated services made available through the platform (together, the "Platform").

By accessing, browsing, registering for, submitting a listing to, advertising on, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional service-specific terms that may apply. If you do not agree to these Terms, you must not access or use the Platform.

2. Relationship with Other Mzuzi Terms

 

These Terms apply specifically to Mzuzi Business Listings and Directory. They should be read together with the general Mzuzi Group Limited Terms and Conditions of Use, the Mzuzi Privacy Policy, any MLIC service terms, payment terms, advertising terms, and any other product-specific terms issued by Mzuzi Group Limited from time to time.

Where there is a conflict between these Terms and any product-specific or paid-service terms, the product-specific or paid-service terms will prevail only to the extent of that conflict.

3. Definitions

 

• "Account" means a registered user account created to access or manage features of the Platform.
• "Business" means a company, partnership, sole trader, professional, organization, institution, service provider, property owner, agent, broker, public office, or other entity listed on the Platform.
• "Business Listing" or "Listing" means any business, professional service, property, product, organization, institution, event, service, location, advertisement, profile, directory entry, or other information submitted to, displayed on, or made searchable through the Platform.
• "Claimed Listing" means a Listing that has been claimed, verified, or managed by a person or entity that Mzuzi reasonably believes has authority to manage that Listing.
• "Content" means text, images, logos, videos, descriptions, contact details, service information, addresses, MLIC codes, prices, promotions, ratings, reviews, comments, documents, and any other material uploaded, submitted, posted, or displayed on the Platform.
• "Directory" means the searchable business directory, listing database, category pages, location pages, and related discovery features made available by Mzuzi.
• "MLIC" means the Mzuzi Business Address Code or any other Mzuzi location/addressing code or location intelligence identifier used in connection with a Listing.
• "User" means any person, visitor, business owner, advertiser, agent, broker, customer, reviewer, partner, representative, or entity accessing or using the Platform.
• "You" and "your" refer to the User accessing or using the Platform.

4. Scope of the Platform

 

Mzuzi Business Listings and Directory is designed to help users discover businesses, services, locations, institutions, professionals, products, properties, and other listed information through a digital directory and related location intelligence tools.

The Platform may include free listings, paid listings, sponsored listings, verified business profiles, category listings, location-based search, user reviews, MLIC-powered location information, map and direction features, business contact details, promotional content, and other related services.

Mzuzi may introduce, change, suspend, or discontinue any feature of the Platform at any time, subject to applicable law and any paid-service commitments expressly agreed in writing.

5. Eligibility and Authority to Use the Platform

 

You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction, to create an Account, submit a Listing, claim a Listing, advertise, make payment, or enter into any binding transaction through the Platform.

By using the Platform on behalf of a business, organization, institution, property owner, agent, broker, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms and to manage the relevant Listing or Account.

6. User Accounts and Account Security

 

Some Platform features may require registration. You agree to provide accurate, current, complete, and lawful information during registration and to update that information whenever it changes.

• Keep your username, password, and account credentials confidential;
• Accept responsibility for all activities carried out under your Account;
• Notify Mzuzi promptly if you suspect unauthorized access or misuse of your Account;
• Not transfer, sell, assign, or share your Account without Mzuzi’s written permission.

Mzuzi may suspend or terminate an Account where we reasonably believe that it has been misused, compromised, created using false information, used for fraud, or used in breach of these Terms.

7. Business Listings and Directory Entries

 

Users who submit, claim, edit, or manage Listings are responsible for ensuring that all Listing information is accurate, lawful, complete, current, and not misleading.

• You have legal authority to list, advertise, promote, sell, rent, represent, or manage the listed business, property, service, product, institution, or organization;
• All descriptions, photographs, pricing, location information, business hours, contact details, availability, and claims are accurate and can be substantiated;
• The Listing does not infringe the rights of any third party, including intellectual property, privacy, contractual, agency, ownership, tenancy, or consumer rights;
• The Listing complies with all applicable laws, professional rules, licensing requirements, sector regulations, and advertising standards;
• You will promptly update or remove any information that becomes inaccurate, unavailable, misleading, expired, or unlawful.

Mzuzi may review, approve, reject, edit formatting, categorize, moderate, suspend, downgrade, delist, or remove any Listing at any time where necessary to protect users, maintain platform quality, comply with law, prevent fraud, or enforce these Terms.

8. Verification, Claimed Listings and MLIC Integration

 

Mzuzi may provide verification, claimed profile, MLIC, address, location, or directory authentication features. Verification is intended to improve trust and discoverability, but it does not constitute a legal guarantee by Mzuzi that the listed business, person, property, product, service, or institution is genuine, licensed, available, safe, or suitable for any particular purpose.

Where a Listing includes an MLIC address code, map pin, GPS point, route, image, or other location intelligence feature, you are responsible for ensuring that the information you provide is accurate and authorized. Users must independently confirm directions, physical addresses, delivery points, ownership, and business legitimacy before relying on a Listing.

9. Paid Listings, Advertising, Subscriptions and Fees

 

Certain Platform features may require payment, including premium listings, sponsored placement, featured categories, advertising, verification, enhanced profiles, API or data access, subscription packages, promotional campaigns, and other paid services.

• All applicable fees, billing cycles, taxes, package features, and renewal terms will be communicated before purchase or in the relevant service order;
• Fees are generally non-refundable unless expressly stated in writing or required by law;
• Mzuzi may revise prices, packages, or paid features from time to time, with notice where reasonably practicable;
• Failure to pay applicable fees may result in suspension, downgrade, removal, or limitation of paid features;
• Paid placement, featured status, or sponsorship does not guarantee leads, enquiries, sales, search ranking, conversion, traffic, or business outcomes.

10. Transactions Between Users

 

Mzuzi Business Listings and Directory is a listing, discovery, directory, and information platform. Unless expressly stated in a separate written agreement, Mzuzi is not a party to transactions, negotiations, contracts, payments, deliveries, leases, sales, purchases, service engagements, agency relationships, or disputes between users, businesses, advertisers, brokers, customers, or third parties.

Users are responsible for conducting their own due diligence before entering into any transaction, including verifying identity, authority, ownership, licences, permits, location, price, condition, availability, payment terms, professional qualifications, and legal compliance.

11. User Reviews, Ratings and Feedback

 

The Platform may allow users to post reviews, ratings, comments, testimonials, or feedback. Reviews must be honest, lawful, relevant, and based on genuine experience.

• Post fake, paid, malicious, defamatory, abusive, discriminatory, or misleading reviews;
• Review your own business or a competitor in bad faith;
• Use reviews to harass, threaten, extort, blackmail, or unfairly damage another person or business;
• Upload confidential, private, or unlawful information through a review.

Mzuzi may moderate, remove, hide, or restrict reviews where necessary, but we are not obliged to monitor all reviews before publication.

12. Prohibited Listings and Prohibited Conduct

 

You must not use the Platform for unlawful, harmful, fraudulent, abusive, misleading, or unauthorized purposes.

• Post false, deceptive, impersonating, duplicate, bait-and-switch, unavailable, or misleading Listings;
• List property, goods, services, or businesses that you have no authority to represent;
• Upload viruses, malware, spam, scraping tools, harmful code, or content designed to disrupt the Platform;
• Attempt to hack, reverse engineer, bypass security, overload, scrape, copy, or misuse Platform systems or data;
• Infringe intellectual property, privacy, publicity, contractual, or other rights;
• Use the Platform for fraud, scams, money laundering, cybercrime, corruption, bribery, illegal trade, or unlawful solicitation;
• Post illegal, obscene, defamatory, hateful, threatening, exploitative, discriminatory, or harmful content;
• Collect or misuse personal data from other users without lawful authority;
• Misrepresent affiliation with Mzuzi, MLIC, a government body, a regulator, or another business;
• Use automated bots or scripts without Mzuzi’s written permission.

13. User Content and Licence to Mzuzi

 

You retain ownership of Content that you lawfully submit to the Platform. However, by submitting, uploading, posting, sending, or displaying Content on the Platform, you grant Mzuzi Group Limited a worldwide, royalty-free, non-exclusive, transferable, sublicensable licence to host, store, reproduce, display, publish, index, adapt, translate, format, distribute, promote, and use that Content for the purposes of operating, improving, marketing, and providing the Platform and related Mzuzi services.

You warrant that you own or have obtained all rights, permissions, consents, licences, and approvals required for Mzuzi to use your Content in accordance with these Terms.

14. Mzuzi Intellectual Property

 

All Platform software, design, systems, databases, code, interfaces, logos, trademarks, graphics, branding, business names, directory structure, MLIC-related tools, documentation, content compilation, search tools, and related intellectual property are owned by or licensed to Mzuzi Group Limited.

Except as expressly permitted by these Terms, you must not copy, reproduce, modify, distribute, sell, rent, sublicense, reverse engineer, scrape, harvest, frame, mirror, or commercially exploit any part of the Platform without Mzuzi’s prior written permission.

15. Data, Directory Information and Platform Integrity

 

Mzuzi may compile, standardize, correct, classify, moderate, enrich, verify, map, analyze, or display Listing data to improve directory quality, searchability, safety, and user experience.

You must not extract, download, scrape, resell, republish, or build competing databases from Platform information without written permission from Mzuzi. Any permitted API, data, or integration use must comply with the applicable API, developer, data-sharing, or commercial terms issued by Mzuzi.

16. Privacy and Personal Data

 

Your use of the Platform is governed by the Mzuzi Privacy Policy, which explains how Mzuzi collects, uses, stores, shares, and protects personal data in connection with its websites, mobile applications, MLIC services, listings, directory, communications, and related services.

Where you upload or provide personal data relating to another person, business contact, employee, customer, tenant, property owner, delivery recipient, or representative, you confirm that you have lawful authority and any required consent to provide that information to Mzuzi for use on or in connection with the Platform.

17. Third-Party Links, Services and Integrations

 

The Platform may contain links, integrations, advertisements, maps, payment channels, communication tools, or content supplied by third parties. Mzuzi is not responsible for third-party websites, applications, content, services, products, terms, privacy practices, or transactions.

Your use of third-party services is at your own risk and may be subject to separate third-party terms and policies.

18. Platform Availability and Changes

 

Mzuzi aims to provide reliable access to the Platform, but we do not guarantee that the Platform will always be available, uninterrupted, secure, error-free, accurate, complete, or compatible with every device or network.

The Platform may be unavailable due to maintenance, upgrades, technical issues, network problems, cyber incidents, force majeure events, regulatory requirements, or other reasons beyond Mzuzi’s control.

19. Disclaimers

The Platform and all Listings, Content, directory information, location information, MLIC information, reviews, advertisements, and related services are provided on an "as is" and "as available" basis.

• Mzuzi does not guarantee the accuracy, completeness, quality, legality, ownership, authority, availability, fitness, pricing, identity, reliability, or suitability of any Listing, business, advertiser, user, product, property, service, review, or Content;
• Mzuzi does not guarantee that any Listing will generate enquiries, leads, sales, business growth, rankings, visibility, traffic, conversions, or revenue;
• Mzuzi is not responsible for user conduct, user communications, offline meetings, payments, deliveries, service performance, property inspections, contracts, or disputes between users;
• Users rely on Listings, reviews, directions, addresses, and directory information at their own risk and should independently verify important information.

20. Limitation of Liability

 

To the fullest extent permitted by applicable law, Mzuzi Group Limited, its directors, employees, officers, contractors, affiliates, licensors, partners, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or economic loss arising out of or related to the Platform, including loss of profits, revenue, data, goodwill, business opportunity, expected savings, reputation, or business interruption.

To the fullest extent permitted by applicable law, Mzuzi’s total liability for any claim arising out of or related to these Terms or the Platform shall not exceed the amount actually paid by you to Mzuzi for the specific paid service giving rise to the claim during the three (3) months immediately preceding the claim, or UGX 10,000 where no fee was paid, unless a different limitation is required by law.

21. Indemnity

 

You agree to defend, indemnify, and hold harmless Mzuzi Group Limited, its directors, employees, officers, contractors, affiliates, licensors, partners, and service providers from and against all claims, demands, losses, liabilities, damages, costs, expenses, fines, penalties, and legal fees arising from or related to:

• Your access to or use of the Platform;
• Your Listing, Content, review, advertisement, or communication;
• Your breach of these Terms or any applicable law;
• Your infringement of any intellectual property, privacy, ownership, consumer, contractual, agency, or other third-party right;
• Any transaction, dispute, misrepresentation, fraud, harm, or claim involving you and another user or third party.

22. Suspension, Removal and Termination

 

Mzuzi may suspend, restrict, downgrade, remove, delist, disable, or terminate access to any Account, Listing, paid feature, Content, review, advertisement, or Platform feature where Mzuzi reasonably believes that:

• These Terms have been breached;
• The Listing or Account is fraudulent, misleading, unauthorized, unlawful, harmful, duplicate, inactive, or of poor quality;
• Payment has not been made when due;
• The Account, Content, or Listing may expose Mzuzi, users, partners, or the public to risk, liability, loss, or reputational harm;
• Mzuzi is required to do so by law, regulator, court order, public authority, or platform security needs.

Termination or suspension does not affect any rights, liabilities, payment obligations, or remedies that arose before the suspension or termination date.

23. Reporting Abuse, Inaccurate Listings or Infringement

 

Users may report inaccurate, fraudulent, unauthorized, unlawful, harmful, or infringing Listings or Content using the contact details provided in these Terms or through any reporting tools made available on the Platform.

Mzuzi may request supporting evidence before taking action. We may remove or restrict Content while investigating, but we are not required to resolve private disputes between users unless required by law.

24. Complaints and Dispute Handling

 

Where possible, users should first contact Mzuzi through the official support channels for any Platform-related complaint, listing concern, billing issue, account issue, or alleged breach of these Terms.

For disputes between users, Mzuzi may provide relevant platform records or take reasonable moderation action, but Mzuzi is not obliged to mediate, arbitrate, compensate, or enforce private transactions between users.

25. Governing Law and Jurisdiction

 

These Terms shall be governed by and construed in accordance with the laws of Uganda, unless mandatory laws of another country in which Mzuzi lawfully operates require otherwise for users in that country.

Subject to any mandatory consumer protection laws and any separate written agreement, disputes arising out of or relating to these Terms or the Platform shall be submitted to the competent courts of Uganda. Where Mzuzi operates in other East African Community or African markets, Mzuzi may also rely on the applicable laws and competent courts of the relevant country for market-specific disputes.

26. Force Majeure

 

Mzuzi shall not be liable for delay, failure, interruption, or non-performance caused by events beyond its reasonable control, including natural disasters, power outages, internet failures, cyberattacks, war, civil unrest, government action, regulatory restrictions, strikes, epidemics, payment network failure, telecommunications failure, or acts of third-party service providers.

27. Changes to These Terms

 

Mzuzi may update these Terms from time to time to reflect changes in law, Platform features, business requirements, payment terms, security needs, or operational practices. Updated Terms will be posted on the Platform or communicated through appropriate channels.

Your continued access to or use of the Platform after updated Terms become effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.

28. General Legal Provisions

• Severability: If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
• No Waiver: Failure by Mzuzi to enforce any provision does not constitute a waiver of that provision or any other right.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without Mzuzi’s written consent. Mzuzi may assign or transfer its rights and obligations as part of business restructuring, merger, sale, or operational transfer.
• Entire Agreement: These Terms, together with the Privacy Policy and any applicable service-specific terms, form the agreement between you and Mzuzi regarding use of the Platform.
• Language: Where these Terms are translated, the English version shall prevail to the extent permitted by law.
